Bylaws for Chapter 46
Preamble:
The Central California Hang Gliding & Paragliding Club is a hang gliding and paragliding club dedicated to the promotion and preservation of foot launched soaring in the Central Valley of California. We work together and collaboratively with Land Owners and Agencies to keep our primary flying sites open by insuring, maintaining, regulating, and monitoring our launch sites and landing zones. Our guiding principle is that all foot launched pilots, of hang gliders and paragliders alike, share common goals and interests best served by a united effort to promote flying safety, education, and good community relations in the Central Valley of California. We support hang gliding and paragliding at the national level through the United States Hang Gliding Association (USHPA) and concurrent membership in that organization is a chapter membership requirement.
Article I: Name and Purpose
Section 1. The name of the organization shall be called the Central California Hang Gliding & Paragliding Club, hereafter referred to as the (Club or Chapter).
Section 2. The purposes of the Club are to encourage participation in hang gliding/paragliding through proper training, engage in the development, study and use of non-powered flight systems and aircraft capable of being launched by human power alone, to make knowledge relating to these subjects available, and flying of such systems.
Section 3. To protect, regulate, maintain, and improve flying sites for pilots’ use.
Article II: Affiliation
Section 1. The Club will be affiliated with other organizations of like purpose, such as USHPA, EAA, and other flying clubs, in a manner to be determined by the Club Officers.
Article III: Membership
Section 1. The membership to the Chapter shall consist of the Chapter Members and individuals whose applications and dues for membership have been accepted by the Chapter.
Section 2. Classes of membership shall consist of the following: Full Member (voting rights), and General Member (non-voting rights). Services, privileges and annual dues for each class of membership shall be as provided on the chapters website.
Section 3. A member will receive the use of Chapter operated flying site(s) and facilities designated by the site membership they apply for.
Section 4. Full Member is defined as a member living within a 50 mile radius of Fresno, California and is open to all members fulfilling this requirement.
Section 5. All members must have concurrent membership with USHPA. An inactive membership with USHPA voids a member from use of Chapter flying site(s).
Article IV: Meeting of Members
Section 1. Meetings shall be held on a regular date established by Chapter Officers. A quorum for the conduct of business shall be three Club Officers.
Section 2. An annual meeting shall be held in January each year for the purpose of electing officers and conducting other business that promotes free flight.
Section 3. Virtual meetings may be conducted throughout the year. This includes use of email, teleconference systems, or other virtual means of sharing or gathering information. Voting during these virtual meetings will be accepted and will require a 2/3 vote in favor to pass such proposed items. All Full Members must be sent notification of such virtual meetings.
Article V: Dues
Section 1. Dues shall be collected from all members for the purposes of gaining access to, protecting, regulating, maintaining, and improving flying sites for pilots’ use.
Section 2. Membership dues will be posted on the chapters website and shall include both annual memberships and temporary membership options.
Section 3. All memberships expire on December 31st.
Article VI: Officers
Section 1. The officers shall be elected by Full Members at the Annual January meeting, and shall hold office for 12 months or until their successors are elected.
Section 2. The President shall preside at all meetings, sign and execute all contracts in the name of the Club when authorized to do so by the Clubs members, and shall have general supervision over the management of all affairs of the Club.
Section 3. The Vice-President shall be vested with all the powers and shall perform the duties of the President in case of absence or disability of the President, and shall perform such other duties as may be delegated to him/her by the Club members.
Section 4. The Secretary shall keep the minutes of all meetings, be responsible for all meeting notices and keeping of historical records for the Club, and shall perform such other duties as may be assigned.
Section 5. The Treasurer shall keep the membership records, receive and deposit all funds, execute all checks for expenditures authorized by the Club Officers, account for all receipts, disbursements and balance on hand each quarter, and perform such other duties as may be incident to the office to Treasurer.
Section 6. The Safety Officer/Coordinator will maintain all site management in accordance with USHPA guidelines for all of the clubs active flying sites
Section 7. The offices of Secretary, Safety officer, and or Treasurer may be combined.
Article VII: Finances
Section 1. The fiscal year shall be from January 1 to December 31.
Section 2. Officers are not liable for incurring debt on the part of the Chapter.
Section 3. Minor expenses are defined as less than $100.00 and can occur with the consensus of at least two Officers. Notification of such expense must be made at the next meeting and/or via an email to the club.
Section 4. Major expenses is defined as anything above $100.00, and requires the approval of at least 2/3 of the voting membership.
Section 5. All chapter dues should be collected via PayPal. Cash collection is not accepted.
Section 6. The chapter shall maintain a valid bank account with the minimum balance required to avoid monthly fees.
Section 7. Funds collected for each site shall be kept separate and a running ledger shall reflect funds available for its respective site.
Section 8. The chapter reserves the right to maintain reserves of 10% of all funds collected in its account for the sole purposes of gaining access to, protecting, regulating, maintaining, and improving flying sites for pilots’ use.
Section 9. Dissolution: In the event of dissolution of the chapter, remaining assets after the satisfaction of all obligations of the chapter shall be distributed for purposes within the scope of internal Revenue Service Code 501(c) (3), or amendments thereof.
Article VIII: Amendments
Section 1. Amendments to these bylaws may be made by a two-thirds (2/3) vote of the voting member present at any regular meeting. Proposed amendments must be stated in the meeting notice.
Article IX: Suspension, Expulsion, and Removal from Office
Section 1. A member may be removed from office, suspended for a period to time, or expelled for cause, such as violation of any of these bylaws, or flight regulations, or other rules of the Chapter or for conduct prejudicial to the best interests of the Chapter. Such action shall require a two-thirds (2/3) vote of all voting members at a regular meeting or via email, provided that a statement of the charges and a notice of the time and place of the meeting have been emailed to the member at least 30 days before the meeting, and that the member will have an opportunity to present a defense at such meeting.
